But what if I buy a ticket to 2nd show (that includes the first for free), but then decide to NOT go to see the first show? Will OOB be able to know that in time to re-sell that seat? Will I still have my seat for the 2nd show?

just to answer some questions, their a/c is good and there will be seating. 700 seats to be exact. and they've rearranged their layout so there are no more sightline issues.
this is all great input. i'm still not sure what to do as everyone makes compelling points.
i'm leaning toward making it two separate shows as Kevin's show is around 80 minutes, and to have around 90 minutes of improv beforehand, even with an intermission, is going to make his show feel long.
if anyone else wants to muck in, we're still mulling this over.

On another note, I enjoyed the new OOB FB announcement that spotlighted how well LZR is air conditioned.
I second both of these points. Both 80 and 90 minutes are toward the long side of a comedy show to begin with. I personally can't sit still for anything too much longer than either one of these, regardless of how entertaining. I regard the OoB brand highly enough to trust that the selection committee or producers are bringing in quality headliners, so I would consider seeing both shows, even if I haven't heard of the acts. I don't know if I'm in the majority or minority there.

two shows would probably make me less likely to see one or the other (i'm probably in the minority that i'd probably pass on Kevin McDonald...if only because i'm ever so slightly more interested in improv and ever so slightly very, very poor)...but one uber long and uber pricey show would definitely make me less likely to see both.
that's me personally, though. i don't know how the general public would behave, and i think that's the main audience to get through to. and signing on for a close to three hour and potentially 40 dollar experience is a lot to ask. maybe offering a discounted ticket for the second show to the general public (and any performers who don't have the upgraded pass) if they also purchase a ticket to the first. any performer who uses the upgraded pass for the first show pays full price to the second. people love a bargain, and that could help put asses in seats for the first show

If I were you, and I'm glad I'm not, I'd find some way to be pushing the lesser known troupes. To come from Israel and play to a small house would suck.
Also (and sorry, fellow poor folks), if your main target audience is GP, I think you should go with the one big show and do a graduating pricing thing. $X to see KM, $X+$x to see the whole mess. Suggestion if you do this; bracelets, hand stamps whatever so a tired audience member can take a walk around the block, have a smoke and stretch legs etc.
